We hereby agree to provide you with access to and use of the applicable products and services you have been authorized to access and use The Educational Tools in accordance with the terms and conditions of this Agreement.
You may access and use The Educational Tools rendered by Learn Joy Systems solely for educational and instructional use. You may access them only in accordance with the terms and conditions set forth in this Agreement. You agree that no other individuals, entities or third parties shall be allowed access to The Educational Tools by you. Except as expressly set forth in the foregoing, all rights with regards to the services offered herein are reserved by Learn Joy Systems and under no circumstances shall you resell, publish, transfer, distribute, sublicense, provide access to, copy, adapt, translate, reproduce, modify, enhance, or use the System, the Products or the content contained therein without our express written permission. You may not remove or alter any trademark or other proprietary notice in or on any Products. The specific content, features and functionality reflected in The Educational Tools and the System are subject to change and discontinuation by Learn Joy Systems in its sole discretion.
In consideration of Your use of the Website, You agree to provide true, accurate, and current information about Yourself if prompted on Our Website, and agree to promptly update such information should it change or should additional information be required by Learn Joy Systems or appropriate law. We reserve the right to request verification of, and You agree to be subject to verification of, any of the information provided by You for enrollment with and continued use of The Educational Tools.
Learn Joy Systems is not responsible for typos or misprints contained within Our Website. We reserve the right to correct typos, errors and descriptions as needed to maintain accurate information. Under no circumstances will Learn Joy Systems be liable for misquoted content. All information and prices should be verified prior to final transactions.
You may not; (a) engage in spamming or other impermissible advertising, marketing or other activities, including, without limitation, any activities that violate anti-spamming laws or regulations; (b) transmit, display or store infringing, obscene, threatening, indecent, libelous, slanderous, defamatory or otherwise unlawful or tortious material, including material that is harmful to children or violates third party privacy rights; (c) introduce malicious programs (such as viruses, worms or Trojan horses) into the System; (d) interfere with or disrupt the integrity or performance of the System, services or the data contained or used therein; (e) attempt to gain unauthorized access to the System or its related systems or networks; or (f) harass or interfere with another user's use of the System or services. You will, at all times, comply with all applicable local, state, federal, and foreign laws in using the System and the Products. We reserve the right to suspend your access to and use of the System and The Educational Tools if we reasonably believe you have undertaken, or participated in, any of the foregoing activities.
We shall retain all right, title and interest in all of our proprietary information and the Services and System, including all content, materials and data contained therein and any derivative works thereof (whether authorized or not), including any modifications made specifically for you or such course offerings in general, by Learn Joy Systems or any other third party, (including you), plus all updates and enhancements, reproductions and corrections thereof and all related patent rights, copyrights, trade secrets, trademarks, service marks, related goodwill and other intellectual property. If you submit feedback and suggestions to Learn Joy Systems regarding The Educational Tools or the System, you acknowledge and agree that we may use such feedback and suggestions in any manner we see fit, and you hereby grant Learn Joy Systems a perpetual, irrevocable, and royalty-free license to all intellectual property rights you may have in such feedback and suggestions.
We shall not be obligated to maintain, revise, enhance or update the standardized Educational Services or the System, unless specifically agreed to in a separate writing from this Agreement. The specific features and functionality reflected in The Educational Tools and the System are subject to change and discontinuation by Learn Joy Systems in our sole discretion. We may suspend your use of or access to The Educational Tools and the System in connection with any violation of this Agreement or any other applicable terms and conditions, and you shall indemnify and hold Learn Joy Systems harmless from any liability or damages incurred by Learn Joy Systems in connection with your use of the System or your alteration or unauthorized use of The Educational Tools. The Educational Tools shall only be used in conjunction with the System and in accordance with these terms and conditions. You understand and acknowledge that The Educational Tools may be retired or supplanted by new editions at any time, and that we are under no obligation to make new editions or replacement Educational Services available. We make no warranty or representation that The Educational Tools will meet your requirements, be error-free or continue to be available for any specific time period.
YOU ACKNOWLEDGE AND AGREE THAT NO WARRANTIES, WHETHER EXPRESS OR IMPLIED, ARE MADE BY Learn Joy Systems WITH RESPECT TO ANY EDUCATIONAL SERVICES OR SERVICES PROVIDED HEREUNDER, AND WE DISCLAIM ALL IMPLIED WARRANTIES AND CONDITIONS, WHETHER STATUTORY, ARISING FROM COURSE OF DEALING, USAGE OR TRADE PRACTICE, OR OTHERWISE, INCLUDING WITHOUT LIMITATION TERMS AS TO QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. WE MAKE NO WARRANTY THAT THE SYSTEM OR THE EDUCATIONAL TOOLS OR YOUR USE THEREOF WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT, GUARANTEE OR MAKE ANY REPRESENTATION REGARDING THE ACCURACY, RELIABILITY, CURRENTNESS, USE, OR RESULTS OF USE OF THE EDUCATIONAL TOOLS OR THE SYSTEM.
The entire content of the Service and any supporting software are the proprietary property of the Company and/or its licensors, and are protected by U.S. and international copyright and other intellectual property laws. The reproduction, redistribution, modification or publication of any part of the Service without the express written consent of the Company and/or its licensors is strictly prohibited.
Unless otherwise indicated, trademarks that appear on this Service are trademarks of the Company or its affiliates. All other trademarks not owned by the Company or its affiliates that appear in the Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by the Company or its affiliates. You agree not to display, disparage, dilute, or taint our trademarks or use any confusing similar marks or use our trademarks in such a way that would misrepresent the ownership of such marks. Any permitted use of our trademarks by you shall be to the benefit of the Company.
We may terminate this Agreement with you if: i) you violate any of the terms of this Agreement or any other agreement we may have in place with you, ii) if The Educational Tools or System is provided in whole or in part by a partner of ours, and that relationship terminates, iii) if we are required to do so by law. Upon termination or expiration of the Agreement, all licenses granted hereunder shall immediately terminate, and you shall immediately cease use of and access to The Educational Tools and the System. All provisions which be their nature should survive termination of this Agreement shall survive termination of this Agreement, including those pertaining to ownership of intellectual property.
Learn Joy Systems has the right to change or modify the Terms of Use at any time, including the Privacy Statement applicable to your use of the Educational Service. Such changes or modifications shall be effective immediately upon notice, which may be given by means including, but not limited to, posting within the Educational Service, or by electronic or conventional mail, messaging, or by any other means by which you may obtain notice. Any use of the Educational Service by you subsequent to such notice shall be deemed to constitute your acceptance of such changes or modifications.
This Agreement shall be deemed to be executed and entered into pursuant to the laws of the State of Delaware, United States of America and for all purposes this Agreement shall be governed, construed and interpreted in accordance with the laws of the State of Delaware, United States of America.
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND OR NATURE WHATSOEVER, SUFFERED BY YOU, INCLUDING WITHOUT LIMITATION LOST PROFITS OR GOODWILL, BUSINESS INTERRUPTIONS OR OTHER ECONOMIC LOSS ARISING OUT OF OR RELATED TO THE AGREEMENT OR ANY USE OF OR FAILURE TO BE ABLE TO USE THE SYSTEM OR THE EDUCATIONAL TOOLS. OUR MAXIMUM AGGREGATE LIABILITY UNDER THE AGREEMENT WILL IN NO EVENT EXCEED THE TOTAL FEES PAID TO Learn Joy Systems BY YOU UNDER THIS AGREEMENT. THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN WARNED OF THE POSSIBILITY OF ANY SUCH LOSS OR DAMAGE, AND EVEN IF ANY OF THE LIMITED REMEDIES IN THE AGREEMENT FAILS OF THEIR ESSENTIAL PURPOSE.
No action, regardless of form, arising under the Agreement may be brought by either party more than one year after the facts supporting the cause of action become known, or reasonably should have become known, to the claimant, except that an action for non-payment may be brought without any limitation on time.
You agree to defend, indemnify and hold harmless Learn Joy Systems, their affiliated entities, independent contractors, service providers and consultants, and their respective directors, employees and agents, from and against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or related to your use of the Sites, the Services and any User Content you post, store or otherwise transmit on or through the Sites, the Services or your use of the Interactive Areas, including without limitation, any actual or threatened suit, demand or claim made against the Learn Joy Systems and/or their affiliated entities, independent contractors, licensors, service providers, employees, directors or consultants, arising out of or relating to the User Content, your conduct, your violation of these Conditions of Use, or the Privacy Policy, as each may be amended from time to time, or your violation of any law(s), regulation(s), or the right(s) of any third party.
This Contract, the Privacy Policy, and other terms, conditions and policies Learn Joy Systems can post on this Website constitute the entire Contract between You and Us and supersede all prior contracts between the parties regarding the subject matter contained herein. This Contract, the Privacy Policy, and other terms, conditions and policies Learn Joy Systems can post on this Website must be read to be mutually consistent wherever possible. In the event of any conflict, this Contract and the Privacy Policy will control over the Website. No failure of either party to exercise or enforce any of its rights under this Contract will act as a waiver of such rights.
